    Terms & Conditions

    These Terms & Conditions (“Terms”) govern your access to and use of the Trenith website and, together with any proposal, order, or statement of work (“SOW”) and our Master Services terms, our provision of software, web, AI, and automation services. Trenith LLC (“Trenith”, “we”), a Florida limited liability company (registered office: Delray Beach, Florida 33445, United States), is the contracting entity for clients that require a US counterparty; engineering is delivered with our India affiliate, Trenith Technologies Private Limited (CIN: U62099TS2026PTC216554; registered office: Plot No. 272, Pragatinagar, Hyderabad 500090, Telangana, India). The contracting entity for your engagement is the one named in the applicable SOW or invoice, and references to “Trenith” include that entity. By using the site or engaging us, you agree to these Terms. If you are entering into them for an organisation, you confirm you are authorised to bind that organisation.

    1. Order of precedence

    A signed SOW or written agreement governs the specific engagement. If there is a conflict, the signed SOW prevails over these Terms, and these Terms prevail over website content. Website content is for general information and does not by itself create a client relationship.

    2. Services

    We provide the services described in the applicable SOW (e.g. discovery, design, software/web development, AI and automation builds, and maintenance). Timelines, scope, and acceptance criteria are defined per SOW. Changes to scope are handled through a written change request that may affect fees and timelines.

    3. Client responsibilities & acceptable use

    You agree to provide timely access, content, approvals, and accurate information, and to use the site and deliverables only for lawful purposes. You must not misuse the site (e.g. attempt to breach security, scrape without permission, upload unlawful or infringing content, or disrupt the service). You are responsible for the accuracy and legality of materials and data you provide to us.

    4. Fees, invoicing & taxes

    Fees, payment schedules, and any advance/deposit are set out in the SOW. Unless stated otherwise, invoices are payable within the period stated on the invoice. Fees are exclusive of applicable taxes (including India GST and any international withholding or indirect taxes), which are payable by the client. Late payments may incur interest and/or suspension of work. Refunds and cancellations are governed by our Refund Policy and Cancellation Policy.

    5. Intellectual property

    Each party retains ownership of its pre‑existing intellectual property and tools. On full payment of all amounts due for an engagement, ownership of the final, paid‑for deliverables created specifically for you transfers to you, except for our pre‑existing materials, third‑party components, and open‑source software, which are provided under their respective licences. Until full payment, deliverables are licensed, not assigned. Unless you opt out in writing, we may reference the engagement and non‑confidential visuals in our portfolio and marketing.

    6. Confidentiality & data protection

    Each party will protect the other’s confidential information and use it only to perform the engagement. Where we process personal data on your behalf, the parties will enter into a Data Processing Agreement (our sub‑processors are listed publicly), and processing is also subject to our Privacy Policy and applicable law (including the India DPDP Act, 2023 and the EU/UK GDPR).

    7. AI & automation

    AI systems can produce inaccurate or unexpected outputs. Where an engagement includes AI or automation, you are responsible for human review and for your lawful use of the outputs in your context. We provide AI transparency consistent with applicable law (including the EU AI Act). We do not warrant that AI outputs are error‑free or fit for a particular purpose beyond what is expressly agreed in the SOW.

    8. Warranties & disclaimers

    We perform services in a professional and workmanlike manner and provide any specific warranty stated in the SOW. Except as expressly stated, the website and services are provided “as is” and “as available”, and we disclaim all other warranties to the maximum extent permitted by law. This clause does not exclude rights that cannot be excluded under mandatory consumer law.

    9. Limitation of liability

    To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data. Our total aggregate liability arising out of an engagement is limited to the fees paid by you to us for that engagement in the twelve months preceding the claim. Nothing limits liability that cannot be limited by law (such as for fraud, or death/personal injury caused by negligence) or mandatory consumer rights.

    10. Indemnity

    You agree to indemnify Trenith against third‑party claims arising from your content, your data, your use of deliverables, or your breach of these Terms or applicable law, except to the extent caused by our breach.

    11. Term & termination

    Either party may terminate an engagement as set out in the SOW and our Cancellation Policy, including for material breach not cured within a reasonable notice period. On termination, you will pay for services performed and costs committed up to the effective date, and each party returns or deletes the other’s confidential information on request, subject to legal retention.

    12. Governing law & disputes

    Unless a signed SOW states otherwise, for engagements contracted with Trenith LLC these Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Palm Beach County, Florida have jurisdiction, without prejudice to mandatory consumer-protection rights in your country of residence. The parties will first attempt to resolve disputes in good faith before pursuing formal proceedings; the governing law and dispute forum are ultimately as set out in the applicable SOW.

    13. Changes & general

    We may update these Terms as the platform and law evolve; we will revise the “Last updated” date and, for material changes, take steps required by law. These Terms include standard provisions on force majeure, assignment, severability, and waiver. Continued use of the site after an update means you accept the revised Terms.
